This website is operated by Codeexceptional Ltd, company number 07655397, registered in England and Wales. By using it you accept these terms.

The content here is provided for general information. We take care to keep it accurate, but nothing on this site is professional advice for your specific circumstances, and prices shown are starting points rather than offers capable of acceptance. A binding price exists only in a written proposal signed by both parties.

Our standard project terms

These summarise how engagements normally run. The proposal you sign is the contract, and where it differs from this page, the proposal wins.

Scope and price

Work is quoted at a fixed price against a written scope. If you ask for something outside that scope, we will tell you the cost before doing it. If we underestimated something inside the agreed scope, that is our cost, not yours.

Payment

Builds are 50% on acceptance of the proposal and 50% on go-live, payable within 14 days of invoice. Monthly services are invoiced in advance. Late payment may attract statutory interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998, though we would rather ring you about it first.

Your responsibilities

The proposal lists what we need from you — content, images, access, approvals — and when. Where those are late, the delivery date moves by a corresponding amount. Where a project stalls on your side for more than 60 days, we may invoice for work completed and reschedule the remainder.

Ownership

On final payment, all intellectual property in the deliverables transfers to you: source code, designs and content we produced. Domains, developer accounts, ad accounts and analytics properties are registered in your name from the outset. Third-party components remain under their own licences, and we retain the right to reuse our own general tools, techniques and libraries.

Warranty

We fix defects in what we built, free of charge, for 90 days after go-live. That covers things not working as specified. It does not cover new features, changes you ask for after approval, or problems caused by someone else editing the site.

Cancellation

Either side may end a project in writing. You pay for work completed to that point and receive the files produced. Monthly services can be cancelled with 30 days written notice, and you keep everything produced during the term.

Liability

Our total liability in connection with an engagement is limited to the fees paid for it. We are not liable for loss of profit, revenue or data, or for indirect losses. Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
